Terms and Conditions of Service
Introduction and Acceptance of Terms
Welcome to AxioPlan. AxioPlan (company code 306318678, registered in the Republic of Lithuania; “the Company,” “we,” “our,” or “us”) operates the probabilistic project estimation platform accessible at https://axioplan.io and any associated applications, APIs, and related services (collectively, the “Service”).
These Terms and Conditions (“Terms”) govern your access to and use of the Service. By clicking “Accept,” creating an account, or otherwise accessing or using the Service, you (“User,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the term “you” shall refer to that entity. If you do not have such authority, you must not accept these Terms or use the Service.
Definitions
For the purposes of these Terms, the following definitions apply:
Account Registration and Security
3.1 Registration Requirements
To access certain features of the Service, you must create an Account. When registering, you agree to:
- Provide accurate, current, and complete information as prompted during registration;
- Maintain and promptly update your registration information to keep it accurate, current, and complete;
- Maintain the security and confidentiality of your account credentials;
- Accept responsibility for all activities that occur under your Account; and
- Notify AxioPlan immediately of any unauthorised use of your Account or any other security breach at info@axioplan.io.
3.2 Eligibility
You must be at least eighteen (18) years of age to create an Account. By using the Service, you represent and warrant that you meet this requirement. The Service is intended for business and professional use; use by individuals under the age of 18 is strictly prohibited.
3.3 Account Security
You are solely responsible for safeguarding your login credentials and for any activity conducted under your Account. AxioPlan will not be liable for any loss or damage arising from your failure to comply with this obligation. You must not share your login credentials with any third party, except to the extent permitted by the multi-user functionality built into the Service.
3.4 Authorised Users
The Account holder may invite Authorised Users to access the Service. The Account holder is responsible for ensuring that all Authorised Users comply with these Terms. Invitation of Authorised Users does not incur additional per-seat charges under either the Free Tier or Pro Plan; however, the applicable plan limits on active projects apply to the entire Account.
Description of the Service
AxioPlan is a probabilistic project estimation platform designed to assist teams with project scoping, scheduling, and delivery planning. The Service includes the following core modules available on all plans:
- Estimation Engine — T-shirt sizing inputs and task risk profiling (High, Medium, Low) to generate statistical delivery probability curves (P50, P85, P95);
- Gantt Chart and Dependency Mapping — visual timeline management with drag-and-drop rescheduling and dependency linking;
- Resource Planning — fractional FTE allocation, role-based scope filtering, and capacity forecasting; and
- Delivery Optimisation — PERT value aggregation, critical path analysis, and parallelisation recommendations.
Additional features available exclusively under the Pro Plan include unlimited active projects, priority support, and project sharing functionality (including client-facing presentation mode). AxioPlan reserves the right to update, modify, or discontinue any feature of the Service with reasonable notice as set out in Section 14.
Subscription Plans and Billing
5.1 Free Tier
AxioPlan offers a perpetual Free Tier at no charge, subject to the following limitations:
- One (1) active project at any given time;
- Access to all four (4) core modules; and
- PNG timeline export.
The Free Tier is provided “as-is” without any uptime guarantee or dedicated support. AxioPlan reserves the right to modify Free Tier feature limits upon thirty (30) days’ written notice.
5.2 Pro Plan
The Pro Plan is available at the following rates:
- Monthly billing: USD $50.00 per month; or
- Annual billing: USD $480.00 per year (equivalent to USD $40.00 per month), invoiced annually in advance.
The Pro Plan includes all Free Tier features plus: unlimited active projects, unlimited Authorised Users, priority support, PNG timeline export, and project sharing functionality. Pricing is per Account and not per seat, regardless of the number of Authorised Users added.
5.3 Payment Terms
All Subscription Fees are due in advance of the applicable billing period. Payment is processed by our third-party payment processor and is subject to their terms of service. By providing payment information, you authorise AxioPlan to charge the applicable Subscription Fee on a recurring basis until cancelled.
All amounts are quoted in United States Dollars (USD) and are exclusive of any applicable taxes, levies, or duties (including VAT, GST, or sales tax), which shall be your sole responsibility. Failure to pay any amount due within seven (7) days of the due date may result in suspension of your Account.
5.4 Free Trial
AxioPlan may offer a time-limited free trial of the Pro Plan. No credit card is required to access the Free Tier. Any free trial of the Pro Plan will be on terms communicated at the time of activation. Upon expiry of a free trial, your Account will automatically revert to the Free Tier unless you elect to upgrade.
5.5 Upgrades and Downgrades
You may upgrade from the Free Tier to the Pro Plan at any time. Downgrades from the Pro Plan to the Free Tier will take effect at the end of the current billing period. No proration is applied to downgrade scenarios. Upon downgrade, projects in excess of the Free Tier limit will be archived (not deleted) and will become accessible again upon re-upgrading.
5.6 Cancellation
You may cancel your Pro Plan subscription at any time through your Account settings. Cancellation takes effect at the end of the current paid billing period. You will retain access to Pro Plan features until the period end date. AxioPlan does not provide refunds for unused portions of a billing period except as required by applicable law or as described in Section 5.7.
5.7 Refunds
Subscription Fees are generally non-refundable. However, AxioPlan may, at its sole discretion, issue a pro-rata refund where:
- The Service has experienced a Material Failure (defined as cumulative downtime exceeding 99.5% SLA in a calendar month) and you have submitted a refund request within 14 days of the affected billing period; or
- Applicable consumer protection law in your jurisdiction mandates a refund right.
To request a refund, contact info@axioplan.io with your Account email and the reason for the request.
5.8 Price Changes
AxioPlan reserves the right to change Subscription Fees at any time. For existing subscribers, price changes will take effect no earlier than thirty (30) days after notice is provided via email to the registered Account address. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.
Acceptable Use Policy
6.1 Permitted Use
Subject to these Terms, AxioPlan grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes only.
6.2 Prohibited Conduct
You agree not to, and will not permit any Authorised User or third party to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorised access to any part of the Service, other user accounts, computer systems, or networks connected to the Service;
- Introduce any virus, malware, ransomware, Trojan horse, worm, or other malicious or harmful code into the Service;
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code or underlying ideas of the Service;
- Resell, redistribute, sublicense, or otherwise transfer access to the Service to any third party without AxioPlan’s prior written consent;
- Use automated scripts, bots, scrapers, or crawlers to access, collect, or index any portion of the Service;
- Overload, impair, or disrupt the integrity or performance of the Service or related infrastructure;
- Remove, obscure, or alter any proprietary notices, trademarks, or labels on the Service;
- Use the Service to transmit unsolicited commercial communications (spam);
- Impersonate any person or entity or falsely represent your affiliation with any person or entity; or
- Use the Service in any manner that could harm AxioPlan’s reputation or that of its users.
6.3 Enforcement
AxioPlan reserves the right to investigate suspected violations of this Acceptable Use Policy. If a violation is confirmed, AxioPlan may suspend or terminate your Account, remove offending Content, and report the matter to appropriate law enforcement authorities. AxioPlan accepts no liability for actions taken in good-faith enforcement of this policy.
Intellectual Property Rights
7.1 AxioPlan Intellectual Property
The Service and all its contents, features, and functionality — including but not limited to the software, algorithms, estimation models, user interface designs, graphics, text, and documentation — are owned by AxioPlan or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other Intellectual Property Rights laws. Nothing in these Terms transfers any Intellectual Property Rights in the Service to you.
7.2 User Content Ownership
You retain full ownership of all User Data you submit to or generate through the Service. AxioPlan does not claim any ownership rights in your User Data.
7.3 Licence to AxioPlan
By using the Service, you grant AxioPlan a limited, non-exclusive, worldwide, royalty-free licence to access, store, reproduce, and process your User Data solely to the extent necessary to: (a) provide and operate the Service; (b) comply with applicable legal obligations; and (c) improve and develop the Service using anonymised and aggregated insights that do not identify you or your organisation. This licence terminates upon deletion of your User Data or Account closure.
7.4 Feedback
If you submit feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant AxioPlan an irrevocable, perpetual, worldwide, royalty-free right to use such Feedback for any purpose without compensation or attribution to you. You waive any moral rights in the Feedback to the fullest extent permitted by applicable law.
7.5 Trade Marks
The AxioPlan name, logo, and product names are trademarks or registered trademarks of AxioPlan. You may not use any AxioPlan trademark, service mark, trade name, or logo without prior written permission, except to identify AxioPlan as a provider of software tools you use.
User Data and Privacy
8.1 Privacy Policy
The collection, processing, and storage of personal data in connection with the Service is governed by our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
8.2 Data Security
AxioPlan implements commercially reasonable technical and organisational measures to protect User Data against unauthorised access, disclosure, alteration, or destruction. However, no method of transmission over the Internet or method of electronic storage is 100% secure, and AxioPlan cannot guarantee absolute security. In the event of a data breach affecting your User Data, AxioPlan will notify you in accordance with applicable law.
8.3 GDPR Compliance (EEA/UK Users)
For users located in the European Economic Area or the United Kingdom, AxioPlan acts as a data processor in respect of personal data contained in User Data and processes such data in accordance with your documented instructions. Where required, a Data Processing Agreement (“DPA”) is available upon request at info@axioplan.io. We rely on Standard Contractual Clauses approved by the European Commission for any cross-border transfers of personal data.
8.4 CCPA Compliance (California Users)
AxioPlan does not sell personal information as defined under the California Consumer Privacy Act (CCPA). California residents have the right to know, delete, and opt out of the sale of their personal information. Requests may be submitted to privacy@axioplan.io.
8.5 Data Retention and Deletion
AxioPlan retains User Data for as long as your Account is active. Upon Account deletion or termination:
- You may export your User Data in JSON format prior to deletion via the account export tool;
- User Data will be deleted from active production systems within thirty (30) days; and
- Anonymised or aggregated data may be retained for analytical purposes indefinitely.
Backups may retain User Data for up to sixty (60) additional days following the active system deletion.
Confidentiality
Each party acknowledges that it may receive information from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (“Confidential Information”). User Data constitutes your Confidential Information. Proprietary technical and business information about the Service constitutes AxioPlan’s Confidential Information.
Each party agrees to: (a) hold the other party’s Confidential Information in strict confidence using at least the same degree of care it uses for its own confidential information, but no less than reasonable care; (b) use the other party’s Confidential Information solely to exercise rights and perform obligations under these Terms; and (c) limit disclosure of Confidential Information to employees, contractors, and agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is rightfully received from a third party without restriction; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party provides prompt written notice to the disclosing party where lawfully permitted.
Service Availability
10.1 Uptime Target
AxioPlan targets 99.5% monthly uptime for the Service (“SLA”), excluding scheduled maintenance and events outside AxioPlan’s reasonable control. Uptime is measured on a calendar month basis and excludes scheduled maintenance windows announced at least 48 hours in advance.
10.2 Maintenance
AxioPlan may perform scheduled maintenance, updates, and upgrades to the Service. Where reasonably practicable, scheduled maintenance will be performed during off-peak hours and communicated to registered users via email or in-app notification. Emergency maintenance may be performed without prior notice.
10.3 No Guarantee of Uninterrupted Access
AxioPlan does not warrant that the Service will be available at all times, error-free, or that defects will be corrected. The Free Tier is provided without any uptime guarantee. Pro Plan SLA credits are governed by Section 5.7.
Disclaimers
AxioPlan does not warrant that: (a) the Service will meet your specific business requirements; (b) project estimation outputs, probability calculations, or delivery date predictions generated by the Service will be accurate or reliable; (c) the Service will be compatible with all hardware and software you use; or (d) errors or defects in the Service will be corrected on any particular timeline.
Probabilistic outputs generated by the Service are mathematical models based on the inputs you provide and are intended to assist decision-making, not to replace professional judgement. AxioPlan accepts no liability for decisions made in reliance on Service outputs.
Limitation of Liability
Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, AxioPlan’s liability is limited to the fullest extent permitted by applicable law. Nothing in these Terms excludes or limits AxioPlan’s liability for: (a) death or personal injury caused by AxioPlan’s negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded by law.
Indemnification
You agree to defend, indemnify, and hold harmless AxioPlan and its officers, directors, employees, agents, and licensors from and against any claims, actions, proceedings, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service in violation of these Terms;
- Your User Data, including any claim that it infringes the Intellectual Property Rights, privacy rights, or other rights of any third party;
- Your violation of any applicable law or regulation; or
- Any dispute between you and another user of the Service.
AxioPlan reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, in which event you will cooperate fully with AxioPlan in asserting available defences. You shall not settle any claim without AxioPlan’s prior written consent.
Modifications to the Service and Terms
14.1 Changes to the Service
AxioPlan reserves the right to modify, update, suspend, or discontinue the Service (or any part thereof) at any time. For material changes to core features available to paying subscribers, AxioPlan will provide at least thirty (30) days’ advance notice via email or in-app notification. Emergency changes required for security or legal compliance may be implemented immediately.
14.2 Changes to These Terms
AxioPlan may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this document and notify you by: (a) email to the address associated with your Account; and/or (b) a prominent in-app notice.
Changes to these Terms will take effect thirty (30) days after the date of notice, unless the change is required for legal or security reasons, in which case it may take immediate effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
Term and Termination
15.1 Term
These Terms are effective from the date you first access the Service and continue until your Account is closed or these Terms are terminated.
15.2 Termination by You
You may terminate your Account at any time by using the account deletion feature in your Account settings or by contacting support@axioplan.io. Termination does not entitle you to a refund of prepaid Subscription Fees except as set out in Section 5.7.
15.3 Termination by AxioPlan
AxioPlan may suspend or terminate your Account immediately, without prior notice or liability, if:
- You materially breach these Terms and fail to cure such breach within seven (7) days of written notice;
- You engage in fraudulent, abusive, or illegal activity;
- You fail to pay any Subscription Fee when due; or
- AxioPlan is required to do so by law or a regulatory authority.
15.4 Effect of Termination
Upon termination: (a) all licences granted to you under these Terms will immediately cease; (b) you must stop accessing the Service; and (c) AxioPlan will delete your User Data in accordance with Section 8.5. Sections 7, 9, 11, 12, 13, 16, 17, and 18 shall survive termination.
Third-Party Services and Links
The Service may integrate with or contain links to third-party websites, services, or tools (e.g., payment processors, authentication providers). These third-party services are governed by their own terms of service and privacy policies. AxioPlan is not responsible for the practices, content, or availability of any third-party services. Your use of third-party services is entirely at your own risk.
AxioPlan makes no representation or warranty regarding the accuracy, availability, or reliability of any third-party service. Any exchange of data between you and a third-party provider is solely between you and that provider.
Governing Law and Dispute Resolution
17.1 Governing Law
These Terms and any dispute or claim arising from or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Lithuania and, where applicable, the law of the European Union. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
For users who are consumers resident in an EU member state, the mandatory consumer protection provisions of that member state shall apply in addition to Lithuanian law, and nothing in these Terms limits any statutory rights you may have under such law.
17.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to attempt to resolve the dispute informally by contacting AxioPlan at legal@axioplan.io. AxioPlan will attempt to resolve the dispute within thirty (30) days of receiving notice. If the dispute is not resolved within that period, either party may pursue formal proceedings as set out below.
17.3 Jurisdiction
Subject to Section 17.4, any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of the Republic of Lithuania. Both parties irrevocably submit to the jurisdiction of those courts.
17.4 EU Consumer Rights
If you are a consumer resident in the European Union, you are entitled to bring proceedings in the courts of the EU member state in which you are habitually resident. You may also use the European Commission’s Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/ for resolving disputes relating to online contracts. AxioPlan’s contact point for the purposes of ODR is: info@axioplan.io.
17.5 Alternative Dispute Resolution
AxioPlan is willing to participate in out-of-court dispute resolution proceedings before a Lithuanian certified consumer dispute resolution body where required by applicable law. Details of certified bodies in Lithuania are available from the State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba) at www.vvtat.lt.
General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AxioPlan with respect to the Service and supersede all prior and contemporaneous agreements, representations, and understandings.
18.2 Severability
If any provision of these Terms is found to be unenforceable, illegal, or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18.3 Waiver
No waiver of any right or obligation under these Terms shall be effective unless made in writing. A waiver of any breach shall not constitute a waiver of any subsequent breach or of the right itself.
18.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without AxioPlan’s prior written consent. AxioPlan may freely assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets. Any attempted assignment in violation of this provision shall be void.
18.5 Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) where such delay or failure arises from circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government action, labour disputes, internet or infrastructure outages, or pandemics.
18.6 No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and AxioPlan. Neither party has authority to bind the other in any way.
18.7 Notices
AxioPlan will provide notices under these Terms by email to the address registered on your Account or by in-app notification. You may send notices to AxioPlan at legal@axioplan.io. Notices are deemed received: by email, twenty-four (24) hours after transmission (absent a delivery failure notification); and by in-app notice, upon display.
18.8 Language
These Terms are drafted in English. In the event of any inconsistency between the English version and any translated version, the English version shall prevail.
